Platform terms for all users, and booking terms for travellers

Wink connects hotels with the channels that sell their rooms. When you book, your contract for the stay is with the hotel — Wink is not the hotel, not a travel agency, and not the merchant of record. Payment is collected by TripPay as the hotel’s agent, and paying TripPay discharges what you owe the hotel. The hotel sets the cancellation policy. Section 17 contains an arbitration agreement and a class-action waiver that affect how disputes are resolved, and a 30-day opt-out. This summary does not govern; the terms below do.

1.1 Wink is a trading name of Winkfluence Inc., a corporation organised under the laws of the State of Wyoming, USA, registered at 30 N Gould St, Ste 22578, Sheridan, WY 82801, USA (“Wink”, “we”, “us”).

1.2 These Terms govern your access to and use of the Wink platform, including the wink.travel website, our applications, the Booking Engine, Extranet, Studio, Social, WinkLinks and Traveliko products, and our REST API, hosted MCP server and related developer and agent interfaces (the “Platform”).

1.3 By creating an account, accessing the Platform, or making a Booking, you agree to these Terms. If you act for an organisation, you confirm you have authority to bind it.

1.4 Role-specific agreements. If you list supply, distribute supply or sell as a travel agent, an additional agreement applies and takes precedence over these Terms to the extent of any conflict:

1.5 The Privacy Policy, Acceptable Use Policy and Cookie Policy are incorporated by reference.

“Booking” means a reservation for accommodation or an ancillary service made through the Platform and confirmed to you.

“Demand Partner” means an affiliate, creator, API partner, AI agent operator or travel agent that generates a Booking through the Platform.

“Hotel” means the accommodation provider supplying the accommodation or ancillary service.

“Traveller” means the person who books or stays under a Booking.

“TripPay” means TripPay Corporation, a Wyoming corporation and wholly owned subsidiary of Winkfluence Inc., which collects booking payments as the Hotel’s limited payment collection agent.

3.1 Wink provides technology and commerce infrastructure. We connect a Hotel’s supply to the channels able to sell it, and complete the booking and payment flow.

3.2 Wink is not the provider of the accommodation or any ancillary service, is not the merchant of record for the stay, and does not act as a travel agency or tour operator.

3.3 The contract for the stay is formed directly between you and the Hotel. The Hotel is solely responsible for its supply, rates, availability, descriptions, policies and for delivering the Booking. Wink is not a party to that contract.

3.4 Wink does not guarantee that any supply, rate, availability or channel will be present or uninterrupted, and may add, change or withdraw Platform features.

4.1 You must be at least 18 and able to form a binding contract. Some features require an account.

4.2 You will provide accurate information, keep it current, and keep your credentials, including API keys and access tokens, secure. You are responsible for activity under your account.

4.3 Notify us promptly at [email protected] of any unauthorised use.

5.1 A Booking is confirmed when we send you a confirmation. Until then, availability and rates may change.

5.2 You will pay the total shown at booking, which includes the room or service price, applicable taxes and any fees included in the rate.

5.3 Your Booking is subject to the Hotel’s rate rules and cancellation, no-show and refund policies, which are shown to you before you pay.

5.4 Authority to use the payment method. You confirm that you are authorised to use the payment method presented, and that any cardholder who is not you has consented to its use for this Booking.

5.5 Booking for others. If you book for another traveller or a group, you confirm that you have their authority to do so, that you will pass on the booking terms and the Hotel’s policies, and that you remain responsible for payment and for the accuracy of the details you provide.

5.6 Identification at check-in. Hotels may operate their own identification and payment verification policies at check-in, including a requirement that the guest present identification matching the Booking, or that the payment card used is presented. Where a Hotel applies such a policy and it is disclosed before booking, that policy governs. Wink is not responsible for a Hotel’s refusal to admit a guest on that basis and is under no obligation to refund in those circumstances.

5.7 You will not make a Booking for the purpose of reselling it. We may cancel such a Booking without refund.

6.1 Payment is collected by TripPay as the Hotel’s limited payment collection agent. Card processing is performed by Stripe, and by paying you also agree to Stripe’s applicable terms. Wink does not store full payment card numbers.

6.2 When you pay TripPay the amount shown at booking, your payment obligation to the Hotel for that amount is discharged, and the Hotel is required to honour your Booking as if it had received payment directly. TripPay is responsible for remitting those funds to the Hotel. If it fails to do so, the Hotel’s recourse is against TripPay and not against you.

6.3 The Hotel’s name normally appears on your card or bank statement for the Booking. Where a travel agent collected payment directly, that agent’s name appears instead.

6.4 Authorisation, capture and settlement timing may vary by rate plan and policy.

7.1 The Hotel sets the cancellation, no-show, deposit and refund policy for your Booking. Wink does not set those policies and cannot vary them.

7.2 Cancellations and changes are made through the Platform or by contacting us, and are processed in accordance with the Hotel’s policy shown at the time of booking.

7.3 Refunds due under the Hotel’s policy are initiated and remitted by TripPay on the Hotel’s behalf. Timing depends on your payment method and card scheme rules.

7.4 Where a Hotel cannot honour a confirmed Booking, it is required to relocate you to accommodation of equal or higher standard in the same area at its cost. We will assist, but the obligation is the Hotel’s.

8.1 For questions about your stay, the property, or a Hotel policy, contact the Hotel directly in the first instance.

8.2 You may also contact Wink at any time, including where the Hotel is unresponsive or where a matter concerns your Booking, payment or refund. We will assist and, where appropriate, take it up with the Hotel on your behalf.

8.3 Wink assisting with a matter does not make Wink a party to your contract with the Hotel, does not transfer the Hotel’s obligations to Wink, and is not an assumption of liability for the Hotel’s performance.

9.1 Your use of the Platform is subject to the Acceptable Use Policy. You will not misuse the Platform, infringe the rights of others, submit unlawful, deceptive or harmful content, or interfere with the Platform’s security or integrity.

9.2 You will not scrape the Platform, extract data beyond your granted access, or use Platform data to build a competing supply database.

9.3 You will not provide false information, use another person’s payment method without authority, or make a Booking you do not intend to honour.

9.4 We may investigate suspected violations and act on them, including by removing content, cancelling a Booking, and suspending or terminating access.

10.1 The Platform and the Wink, WinkLinks, Studio, TripPay and Traveliko marks are owned by Wink or its licensors. No rights transfer to you except as expressly granted.

10.2 You retain ownership of content you submit. You grant Wink a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt, publish and display it as needed to operate and promote the Platform and provide the services you request.

10.3 You confirm you hold the rights necessary to grant that licence and that your content infringes no third-party right.

10.4 If you send us suggestions, we may use them without restriction or obligation.

11.1 We handle personal data in accordance with the Privacy Policy. Hotels and Demand Partners are separately responsible for their handling of your data.

12.1 The Platform integrates with third-party services, including Stripe, Hotels, channel managers, Demand Partners and external sites. Those are provided under their own terms and Wink is not responsible for them.

13.1 Except as expressly stated and to the fullest extent permitted by law, the Platform is provided “as is” and “as available”, without warranties of any kind, express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

13.2 Wink does not warrant that the Platform will be uninterrupted, error-free or secure, or that any supply, rate or availability is accurate or will remain available.

13.3 Wink is not responsible for the accommodation or services provided by any Hotel, or for the acts or omissions of any Hotel, Demand Partner or Traveller.

14.1 To the fullest extent permitted by law, Wink and its affiliates, officers, employees and agents are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, data, goodwill or business.

14.2 Wink’s total aggregate liability arising out of or relating to the Platform or these Terms will not exceed the greater of the total amount you paid for the Booking giving rise to the claim, or USD 500.

14.3 Nothing limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be limited by law. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14.4 Time limit. Any claim arising out of or relating to these Terms or the Platform must be brought within one year of the date the claim arose, or it is permanently barred, unless a longer period is required by law.

15.1 You will indemnify and hold harmless Wink and its affiliates from any claim, liability, damage, loss or expense, including reasonable legal fees, arising from your content, your use of the Platform, your breach of these Terms, or your breach of any law or third-party right.

16.1 You may stop using the Platform and close your account at any time.

16.2 We may suspend or terminate your access, with or without notice, if you breach these Terms, create risk or legal exposure for Wink, a Hotel or a Traveller, or where reasonably necessary.

16.3 On termination, the rights granted to you cease. Confirmed Bookings and accrued payment obligations continue to be governed by these Terms. Sections 9.2, 10, 11, 13, 14, 15, 17 and 18 survive.

16.4 We may update these Terms. Where changes are material we will take reasonable steps to notify you, including by posting the updated Terms with a new effective date. Changes take effect when posted unless stated otherwise, and continued use constitutes acceptance.

Please read this Section carefully. It affects how disputes between you and Wink are resolved and limits the ways you can seek relief.

17.1 Informal resolution first. Before starting a formal proceeding, you agree to contact us at [email protected] with a short written description of the dispute and the relief sought. We will do the same. If the dispute is not resolved within 30 days of that notice, either party may proceed under this Section.

17.2 Binding individual arbitration. Except as stated below, any dispute arising out of or relating to these Terms or the Platform that is not resolved informally will be settled by binding individual arbitration, administered under the rules of a recognised arbitration provider, seated in Wyoming, USA, and conducted in English before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.

17.3 Class-action waiver. You and Wink each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. An arbitrator may not consolidate claims or preside over any representative proceeding. If this waiver is held unenforceable as to a particular claim, that claim is severed from arbitration and proceeds in the courts identified in clause 17.7.

17.4 Jury trial waiver. To the extent permitted by law, you and Wink each waive any right to a trial by jury.

17.5 Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive or equitable relief in the courts identified in clause 17.7 to protect intellectual property or prevent unauthorised access to the Platform.

17.6 Opt-out. You may opt out of clauses 17.2, 17.3 and 17.4 by sending written notice to [email protected] within 30 days of first accepting these Terms, stating your name, account details and intent to opt out. Opting out does not affect any other part of these Terms and will not disadvantage you in any way.

17.7 Governing law and forum. These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of laws rules, and where applicable by the federal laws of the United States. Where a claim is not subject to arbitration, the state and federal courts located in Wyoming have exclusive jurisdiction and you consent to venue there.

17.8 Consumers. If you are a consumer resident in a jurisdiction whose mandatory laws restrict arbitration agreements or class-action waivers, or give you the right to bring proceedings locally or under a different governing law, those mandatory rights apply and nothing in this Section removes them.

17.9 Severability. If any part of this Section is held unenforceable, the remainder continues to apply, except that if clause 17.3 is held unenforceable in its entirety then this Section does not apply and disputes proceed under clause 17.7.

18.1 These Terms, with the policies incorporated by reference and any applicable role-specific agreement, are the entire agreement between you and Wink and supersede prior agreements on this subject, including any governed by the laws of Singapore.

18.2 If a provision is unenforceable, the rest remains in effect. Our failure to enforce is not a waiver.

18.3 You may not assign these Terms without our consent. We may assign to an affiliate or in connection with a merger, financing or sale.

18.4 Neither party is liable for delay or failure caused by events beyond its reasonable control.

18.5 The English version governs. Notices to you may be given through the Platform or your account contact details.

18.6 You agree that electronic acceptance of these Terms, including of any amendment, is valid, binding and enforceable.
