In plain language

The Terms of Service apply to everyone. If you list rooms, sell rooms, or collect payment yourself, one additional agreement also applies to you — find it in the table below. Two companies contract with you: Winkfluence Inc. is the platform, and TripPay Corporation collects and pays out money. Both are Wyoming corporations.

The Terms of Service apply to everyone. Where a role-specific agreement conflicts with them, that agreement takes precedence to the extent of the conflict.

Agreements

Terms of Service

The umbrella document. Applies to every user of the platform and contains the booking terms for travellers, including how payment, cancellations and refunds work, and the arbitration agreement and class-action waiver in Section 17 with its 30-day opt-out.

Accommodation Provider Agreement

For hotels and other accommodation providers listing supply. Covers supply and rate parity, add-ons, distribution channels, fees and commission, chargebacks with a fraud carve-out, operations, and overbooking and relocation obligations.

Accommodation Provider Payment Terms

Between the hotel and TripPay Corporation. Section 1 is the appointment that makes TripPay the hotel’s limited payment collection agent — accepting these Payment Terms constitutes that appointment. Also covers collection, handling of funds, fees, payout, refunds, chargebacks and taxes.

Agent-Collected Channel Addendum

Accepted by a hotel when it activates the agent-collected sales channel in the Extranet. On that channel the travel agent collects payment, neither Wink nor TripPay is in the money flow, and the hotel’s recourse for non-payment is against the agent.

Demand Partner Agreement

For affiliates, creators, API partners, AI agent operators, and travel agents where TripPay collects. Common terms in Sections 1–7, with role-specific additions for API partners, creators and AI agent operators in Sections 8, 9 and 10.

Demand Partner Payment Terms

How commission is calculated and paid. Section 1 is the mirror of the hotel appointment: the partner does not appoint TripPay and never holds guest funds.

Travel Agent Agreement

For travel agents approved to collect payment themselves and act as merchant of record. Approval-gated, subject to a credit limit with automatic decline, with a 1.5% booking fee invoiced monthly. There is no payment collection fee, because TripPay is not collecting.

Common questions about Wink's legal terms.

Who contracts with whom, who is the merchant of record, what Wink charges, and which law applies.

Who does a traveller contract with for the stay?

The hotel. The contract for the stay is formed directly between the traveller and the hotel. Wink is not the hotel, is not a travel agency or tour operator, and is not a party to that contract. The hotel is responsible for its supply, rates, availability, policies and for delivering the booking.

Who is the merchant of record on a Wink booking?

It depends on the channel. On most bookings the hotel is the merchant of record and TripPay Corporation collects payment as the hotel's limited payment collection agent — the hotel's name normally appears on the traveller's card statement. On the agent-collected channel the travel agent collects payment directly and is the merchant of record, and that agent's name appears instead. Wink is never the merchant of record for the stay.

Does paying TripPay discharge what the traveller owes the hotel?

Yes. When a traveller pays TripPay the amount shown at booking, their payment obligation to the hotel for that amount is discharged and the hotel must honour the booking as if it had been paid directly. TripPay is responsible for remitting those funds. If it fails to do so, the hotel's recourse is against TripPay, not against the traveller.

What does Wink charge a hotel?

A 1.5% Platform Fee and a 4.0% Payment Collection Fee, both calculated on Booking Value, with card processing included. On a USD 100 booking that is USD 1.50 and USD 4.00, leaving a subtotal of USD 94.50. Where a demand partner generated the booking, their commission is calculated on that subtotal — a 10% commission is USD 9.45, leaving a net rate of USD 85.05. Where the hotel generates the booking itself, no commission applies and it keeps USD 94.50.

When does a hotel get paid?

Funds become available for withdrawal within 24 hours of guest check-in, subject to identity and payment verification.

Who bears a chargeback?

Chargebacks pass through to the hotel, with a carve-out for confirmed payment fraud, and are subject to a five-business-day representment obligation — the hotel must supply the evidence needed to contest the chargeback within that window.

Which law governs Wink's agreements?

The laws of the State of Wyoming, USA. Both contracting entities — Winkfluence Inc. and TripPay Corporation — are Wyoming corporations. Earlier Wink agreements governed by the laws of Singapore are superseded.

Can an AI agent book on a traveller's behalf?

Yes, where the operator has accepted the Demand Partner Agreement. The operator, not the agent, contracts with Wink. Before taking payment the operator must show the traveller the total price including taxes, the property and dates booked, and the cancellation policy, and obtain affirmative confirmation. The operator remains responsible for everything the agent does, including autonomous actions.
